Shelf Registration
Shelf registration - type of new issue registration that allows the issuer some flexibility as to timing of the issue (up to two years).
The securities are sold on a delayed or continuous basis (employee benefit plans).
Can only register an amount that can reasonably be sold within 2 years.
This also allows issuer to sell when market conditions are the most favorable.
