Restricted stock - stock that was not registered under the SE 1933

Stock bought through a company's stock option plan or private placement will be restricted.
The buyer will sign something that says the stock is for investment, not short swing profits (2 years (unless left to estate (not heirs))).
Sale of this stock is covered by Rule 144.
