Regulation A Offering - IPODefinition that is partially exempt from filing provisions of the Securities Act of 1933Definition (issuing less than $1,500,000).

A new issue of 1.5 million or less during 1 year.

They still must file a letter of notificationDefinition, in place of a prospectusDefinition.

Advantages to issuer: lower legal / filing fees and shorter time needed.
