Insider - any officer or director
of the corporation, as well as any person that owns 10% or more of the company's stock.
Anyone with non-public information is also considered an insider.
Transactions by insiders are regulated by Federal regulations.
Insiders can't sell short (or buy puts
).
You must tell the SEC
10 days before you become an insider.
Changes must be reported to them within the 10th day of the next month.
