Best efforts - The investment banker
agrees to distribute as many shares as possible.
The other shares get returned to the issuing firm without penalty to the underwriter.
This means that the issuer of the IPO takes on the risk of the distribution instead of the investment banker. Consequently, the underwriters charge less.
